Corporate Partner
Our client, a prestigious, mid-sized New York City law firm seeks a Corporate Partner to join their general corporate practice. Looking for a partner with a book of business and expertise in mergers and acquisitions, divestitures, private placement of equity and debt securities, commercial financing, digital assets, data privacy, and cybersecurity. The ideal candidate will provide comprehensive legal counsel on corporate formation, governance, and strategy, while serving as a trusted advisor to clients’ executive leadership and boards.
Key Responsibilities:

• Advise on and negotiate mergers, acquisitions, divestitures, joint ventures, and other complex corporate transactions.
• Structure and negotiate a wide range of corporate and commercial contracts, including shareholder agreements, partnership agreements, technology licensing, and service agreements.
• Counsel clients on corporate formation, restructuring, governance, privacy, and compliance with applicable corporate laws.
• Provide strategic guidance to boards of directors and executive teams on fiduciary duties, corporate governance, and privacy matters.
• Advise on legal and regulatory considerations involving digital assets, blockchain technologies, and emerging financial products.

Qualifications:

• Juris Doctor (JD) from an accredited law school
• Admission to practice law in New York State
• 10+ years of experience in corporate law
• Excellent drafting, negotiation, and communication skills.
• Sustained book of business and desire to generate new business

Salary base 250-275K plus bonus
