Associate – M&A / Corporate Practice Group
Our client, a full-service law firm is seeking a mid- to senior-level Corporate Associate (2–8 years of experience) to join its M&A and Corporate practice. This role offers significant client exposure and the opportunity to work on sophisticated mergers and acquisitions, private equity transactions, and general corporate matters.
Responsibilities:
• Represent buyers and sellers in M&A transactions, including private equity-backed and strategic acquisitions.
• Draft and negotiate transaction documents, including stock and asset purchase agreements, merger agreements, shareholder agreements, operating agreements, investor rights agreements, and related ancillary documents.
• Advise clients on corporate governance, entity formation, compliance, and commercial agreements.
• Conduct legal research and analyze corporate and transactional issues.
• Work directly with founders, executives, private equity sponsors, family offices, and other stakeholders throughout the transaction lifecycle.
Qualifications:
• Admitted and in good standing in New York; New Jersey admission is a plus.
• 2–8 years of M&A and corporate transactional experience.
• Strong drafting, negotiation, analytical, project management, and communication skills.
• Experience handling complex transactions and managing multiple matters simultaneously.
• Ability to thrive in a collaborative, entrepreneurial, and fast-paced environment.
• Candidates should be prepared to provide a representative deal sheet highlighting transaction experience and level of involvement.
